ViveRE Announces Closing of Upsized Common Share Offering for Gross Proceeds of $9,570,000

Nova Scotia, Canada – December 11, 2020 – ViveRE Communities Inc. (TSX.V: VCOM) (“ViveRE” or the “Company”) is pleased to announce that it has closed today its previously announced short form prospectus offering (the “Offering”) of common shares (“Common Shares”). A total of 47,850,000 Common Shares were sold at a price of $0.20 per Common Share, including the exercise by the Agents (as defined below) of their over-allotment option to purchase 5,350,000 Common Shares, for aggregate gross proceeds of $9,570,000. The Offering was completed by Echelon Wealth Partners Inc., Canaccord Genuity Corp. and Laurentian Bank Securities Inc. (collectively, the “Agents”).

A portion of the gross proceeds of the Offering will be used to finance the previously announced acquisition of three multi-family properties in Moncton, New Brunswick, located at 2380 Mountain Road (64 units), 27 Edmond Street (18 units) and 50 Maplewood Drive (13 units), and the multi-family property located at 51 Noel Avenue in Saint John, New Brunswick (42 units) (the “Acquisitions”) with the balance used for costs of future acquisitions, working capital and general corporate purposes. The Company expects the Acquisitions to close in December 2020.

The Offering and the Acquisitions are subject to TSX Venture Exchange (“TSXV”) final acceptance of requisite regulatory filings.

In consideration for their services, and pursuant to the terms of an agency agreement, dated December 4, 2020, among the Agents and the Company (the “Agency Agreement”), the Company paid a cash commission of $461,700 and  issued to the Agents 2,233,501 non-transferable share purchase warrants (each, an “Agent Warrant”), with each Agent Warrant exercisable into one common share of the Company at an exercise price equal to $0.24 for a period of 24 months from the date hereof.
